This legally binding Consignment/Sales Protocol (“Protocol”) establishes a contractual framework governing the terms of service between you (“You” or “Your”), the individual or entity seeking to utilize our platform, and TheLuminaEdit LLC (“TheLuminaEdit,” “We,” “Us,” or “Our”), the provider of the luxury resale marketplace. It is imperative that you carefully peruse this entire Protocol to fully comprehend its implications.

MANDATORY ARBITRATION AND WAIVER OF COLLECTIVE LEGAL ACTIONS: This Protocol contains provisions mandating the resolution of any disagreements through individual arbitration, thereby precluding recourse to jury trials, court-initiated class actions, or participation in representative proceedings. Your acceptance of this Protocol signifies your explicit agreement to these terms regarding dispute resolution.

ACCEPTANCE OF TERMS IS A PREREQUISITE FOR SERVICE UTILIZATION: Should you desire to consign or sell items via the TheLuminaEdit digital marketplace, your affirmative consent to the stipulations outlined within this Protocol is obligatory. By selecting the “AGREE” option, you unequivocally acknowledge that you have thoroughly read, comprehensively understood, and willingly accepted all the terms and conditions herein.

Our overarching Terms of Service, accessible at https://theluminaedit.com/terms-of-service/ (“OTS”), are hereby incorporated into this Protocol by reference and constitute an integral component of the agreement you are entering into. Consequently, all activities undertaken by You and Us pursuant to this Protocol shall additionally be subject to the provisions of the OTS.

DURATION OF AGREEMENT: Upon your acceptance of this Protocol, it shall remain in full force and effect, governing all transactions conducted between You and TheLuminaEdit until such time as it is formally terminated by either You or Us in accordance with the termination clauses explicitly detailed within this Protocol.

SERVICE OVERVIEW AND SELLER ACCOUNT ESTABLISHMENT:

Our core business involves the marketing and sale of high-end designer accessories, including but not limited to handbags, apparel, and other luxury goods. We provide a sophisticated digital platform that facilitates these transactions. To initiate the sale of your items through our platform, the creation of a dedicated seller account is a mandatory first step. This process requires you to furnish accurate contact details and preferred payment information. Once your seller account is successfully established, you can avail yourself of our service options, which include: (i) entrusting us to sell items you dispatch to our facilities or that we arrange to collect from your designated location (collectively termed the “Merchandise”) on a consignment basis (“Consignment”); (ii) subject to meeting our specific eligibility criteria, directly selling your Merchandise to us for immediate resale (“Direct Purchase”); (iii) exchanging your Merchandise for credit applicable towards future purchases within our digital marketplace (“Trade-In”); or (iv) engaging in a combination of Consignment, Direct Purchase, or Trade-In transactions concerning your submitted Merchandise. For clarity in our marketing materials and website content, our Consignment and Direct Purchase programs are collectively referred to as “Curated Collections.”

CONSIGNMENT PROTOCOL:

Should you elect Consignment as the method for your Merchandise, it is explicitly understood that you, the consignor, shall retain ownership of the Merchandise (referred to as “Consigned Merchandise”) at all times, even after the physical transfer of possession to TheLuminaEdit. Upon our receipt or collection of the Consigned Merchandise from you, a confirmation email will be dispatched to your registered email address, detailing the items received. Subsequently, our expert team will conduct a thorough evaluation, inspection, and authentication process for each item. Following this assessment, you will be able to access your seller account via our website, mobile applications, or other integrated services (collectively, the “Platform”) to monitor the status of your items and view the initial listing prices assigned to those items deemed suitable for sale (“Accepted Items”). These Accepted Items will then be prepared and displayed as available for purchase on the Platform. It is important to note that all initial listing prices are determined at the sole and unfettered discretion of TheLuminaEdit, unless a prior written agreement specifying otherwise has been established between You and Us.

TRANSFER AND LIABILITY FOR CONSIGNED MERCHANDISE:

Liability for loss or damage to Consigned Merchandise is assumed by TheLuminaEdit only under the following explicitly defined circumstances: (i) when We have taken direct physical possession of the Consigned Merchandise at our designated facilities, or (ii) when You utilize our pre-approved, pre-paid shipping label and adhere to our designated shipping methodology for dispatching your Consigned Merchandise, and the provided label is officially processed within our approved shipping vendor’s tracking system, with you demonstrably relinquishing the Consigned Merchandise to the vendor (“Authorized Transit”). A “Shipment” is defined as a collection of Consigned Merchandise items bundled together and dispatched under a single Authorized Transit shipping label.

In the event that an item of Consigned Merchandise incurs damage, is stolen, or becomes lost while in Our custody or during Authorized Transit, such item will be treated as “Sold” (as defined in the “Ownership of Merchandise” section below), and We will remit to You a Commission (as defined in the “Commission Structure and Payment for Consigned Merchandise” section below) for that specific item. The Commission will be calculated based on the damaged, stolen, or lost item’s estimated Net Selling Value (defined below), the determination of which rests solely with Us. This payment represents the compensation You would have ordinarily received upon a successful sale, less any applicable discounts or promotional offers implemented under this Protocol, and the payment will be processed and disbursed according to the standard Commission payment schedule detailed below.

Should you initiate a request for the return of a Consigned Merchandise item, and that item sustains damage during the return shipping process, you are obligated to promptly notify us and subsequently return the damaged item to Our facilities in strict accordance with Our provided shipping instructions and at Our expense. Furthermore, you must provide any evidentiary documentation We reasonably request to validate your damage claim. If, upon our assessment, We validate and concur with your damage claim, We will proceed with the Commission payment for the item.

Unless explicitly prohibited by prevailing legal statutes, this stipulated remedy shall constitute your exclusive recourse and sole avenue for compensation against Us for any Consigned Merchandise that is damaged, stolen, or lost while in Our possession or during Authorized Transit, superseding any other remedies potentially available under law or equity.

Any claim initiated by You concerning a damaged, stolen, or lost item must be formally submitted to Us in writing within sixty (60) calendar days from the date on which You became aware or should have reasonably become aware of the alleged damage, theft, or loss. In the case of a damaged item, We reserve the right to have minor damage professionally repaired by a certified repair service within a commercially reasonable timeframe and subsequently relist the item for sale on your behalf at a price determined solely by Us.

CONDITIONS FOR ACCEPTANCE OF CONSIGNED MERCHANDISE:

Upon our receipt of a Consigned Merchandise item, it will undergo a thorough evaluation to ascertain, at Our sole discretion, its authenticity, overall quality, and market value. The specific condition of the item will directly influence its valuation and ultimate pricing on the Platform.

We exclusively accept Consigned Merchandise that We deem suitable for resale within the context of our Platform’s offerings and brand image. We reserve the right to accept or reject any item for any reason whatsoever. However, as a general guideline for acceptance (determined at Our sole discretion), Consigned Merchandise must, at a minimum, meet the following criteria: (1) be in a condition ranging from fair to pristine; (2) be unequivocally authentic (meaning, inter alia, that the item is not counterfeit, a replica, stolen property, or subject to any geographical sales restrictions, such as those applicable to gray market goods); and (3) be consistent with all the representations and warranties You provide in the “Your Representations, Warranties, and Indemnification” section below. An item that successfully meets all of Our acceptance criteria will be classified as an “Accepted Item.”

CONSIGNMENT PERIOD AND MERCHANDISE RETURN PROTOCOL:

Subject to the termination clauses outlined within this Protocol, the “Consignment Period” for each Accepted Item commences on the date the item is formally Accepted by Us for Consignment and concludes at the earlier of (i) when the item is “Sold” (as defined below); or (ii) 365 calendar days following the Acceptance Date, irrespective of whether this Protocol has been terminated by You or TheLuminaEdit during that timeframe. At any point during the Consignment Period, and subject to the stipulations of this provision, You may submit a written request for Us to return any specific Accepted Item to you at your expense (a “Return Request”), provided that the Accepted Item has not already been Sold. Upon our receipt of your valid Return Request, We will undertake commercially reasonable efforts to remove the designated Accepted Item from active listing on the Platform and, if applicable, from any of Our physical retail locations, before it is Sold, and subsequently return said Accepted Item to You in strict accordance with the terms of the Return Policy detailed below.

All Return Requests are subject to applicable return fees and other conditions as explicitly set forth in the Return Policy.

If an Accepted Item remains unsold by the conclusion of the Consignment Period, We will initiate contact with You. At your discretion and Our expense, you will have the option to: (A) have the Accepted Item returned to you, adhering to the terms of the Return Policy; or (B) authorize Us to re-purpose or donate the item to a charitable organization of Our choosing.

Should We, at the end of the Consignment Period, be unable to establish contact with You at the email address or physical address We have on file for You, despite employing commercially reasonable efforts (and in no event later than thirty (30) days from Our initial attempt), any remaining items of Consigned Merchandise may be: (A) subjected to further price reductions, at Our sole discretion, and subsequently sold, including items for which a specific pre-agreed selling price was established between You and Us as outlined below; (B) re-purposed for alternative use; or (C) donated to a charitable organization of Our choosing, in all such cases without any further notification to or explicit consent from You.

SALES EFFORTS AND PRICING STRATEGY:

Provided that You remain in full compliance with all terms and conditions of this Protocol, We will diligently display the Accepted Item on the Platform and will exert commercially reasonable efforts to facilitate the sale of the Consigned Merchandise.

Unless a prior written agreement specifying a particular mandatory selling price for a specific item during the Consignment Period has been established between You and Us, We shall, in our sole and unfettered discretion, determine the initial selling price for each item of Consigned Merchandise (the “Initial Sale Price”). This determination will be based on Our internal evaluation of the item, coupled with Our assessment of the prevailing resale market price for comparable items. While the original manufacturer’s suggested retail price (MSRP) of an item may occasionally be displayed on the item’s product description page on Our website, it is explicitly understood that this information is provided for reference purposes only and does not dictate the Initial Sale Price.

To effectively market and promote the sale of each item of Consigned Merchandise, We reserve the right, in Our sole discretion, to apply an immediate discount to the item, thereby affecting its Initial Sale Price, unless a prior written agreement explicitly prohibits such discounting. Furthermore, We may, at Our sole discretion and without any prior notice to You, offer additional discounts and promotional offers during the Consignment Period to efficiently market and expedite the sale of the Consigned Merchandise, unless a prior written agreement explicitly prohibits further price reductions.

OWNERSHIP OF MERCHANDISE:

You shall retain continuous ownership and legal title to each item of Consigned Merchandise until that item is formally “Sold” or until the conclusion of the Consignment Period. An item will be deemed “Sold” at the earlier of the following occurrences: when We successfully sell it to a customer and the Consigned Merchandise is not returned to Us within the timeframe specified in the Return Policy; or if the item is lost, stolen, damaged, or destroyed while in Our possession.

COMMISSION STRUCTURE AND PAYMENT FOR CONSIGNED MERCHANDISE:

Commission Rates: For each item of Consigned Merchandise that is successfully Sold, We will remit to You a Commission. The Commission amount will be calculated as the item’s Net Sales (as defined below) multiplied by the applicable Commission Rate (as defined below). The Commissions received by You for the Sales of Your Consigned Merchandise constitute the sole and complete financial compensation You will receive under this Protocol for such sales. This section delineates the process by which Commissions are calculated, generated, and the schedule and method of their payment.

Definitions: “Net Selling Price” is defined as the final price at which an item of Consigned Merchandise is Sold to a customer, after the application of any relevant discounts and promotional offers, and specifically excluding any applicable taxes and shipping fees. “Net Sales” represents the total gross revenue We receive from the sales of Your Consigned Merchandise, less any applicable discounts and promotional offers, and specifically excluding any applicable taxes and shipping fees.

The currently applicable commission rate tiers are published and accessible for your review (the “Commission Rates”). These Commission Rates will be utilized to calculate the specific commission amount (the “Commission”) You will receive for each item of Consigned Merchandise that is Sold. Please note that these Commission Rates are subject to periodic updates and modifications at Our discretion.

We further reserve the right, at Our sole discretion and without any prior notice to You, to: (i) introduce special Commission Rates for promotional purposes, which may be applicable only to specific categories of items, offered for a limited duration, or subject to other specific conditions; or (ii) implement other changes to our overall Commission structure and the prevailing Commission Rates, with any such changes becoming effective immediately upon their publication on the aforementioned website.

Payment Procedures: We typically initiate the processing of Commission payments around the 15th day of each calendar month for all sales of Consigned Merchandise that were finalized during the entirety of the preceding month. By way of example, payments processed on April 15th would cover the sales period spanning from March 1st through March 31st. Payments will be disbursed to You via direct electronic bank deposit, in the form of credit applicable towards purchases on our Platform (“Site Credit”), by physical paper check mailed to your registered address, or through another mutually agreed-upon payment method. Should you elect to receive payment via paper check, You acknowledge that We may, at our sole discretion, impose a processing fee to cover the associated administrative costs.

The precise timeframe for processing and ultimately delivering Commission payments will vary depending on the specific payment method You select. However, it typically requires a minimum of two business days for processing (it is explicitly understood that these timeframes are estimates only and are subject to potential fluctuations).

Payment processing services for our Platform are facilitated by various third-party payment processors. By accepting these terms or by continuing to utilize our Services, You explicitly agree to be bound by the then-current terms of service established by each of these payment providers, as they may be modified from time to time. As a prerequisite for Us enabling payment processing services through these third-party processors, You hereby agree to provide Us with accurate and complete information about yourself and your business operations, and you explicitly authorize Us to share this information, as well as transaction-related data pertaining to your utilization of the payment processing services, with the relevant payment provider.

Your Account Information: When you establish a seller account and engage in selling items with or to Us, you will be required to provide certain contact, payment, billing, and other pertinent information. It is your ongoing responsibility to ensure that all information you provide to Us is, and remains at all times during the term of this Protocol, truthful, accurate, and complete. To facilitate the timely and accurate receipt of Commissions, refunds, or other payments, you must furnish Us with all necessary details, including but not limited to a valid and actively monitored email address, a current postal address, your legal first and last name, and accurate bank account information if you opt for direct deposit. We shall not be held liable for any communication errors or financial discrepancies arising from your provision of inaccurate or incomplete information. You bear the sole responsibility for ensuring that your email system is configured to receive communications from Us without being blocked or filtered as spam. If you fail to provide Us with accurate and up-to-date information: (a) We will not be responsible for any misapplied payments or payments inadvertently sent to an incorrect address, and (b) any unclaimed funds may be subject to collection by governmental authorities in accordance with applicable unclaimed funds and escheat laws. We assume no obligation or liability to You if any of your unclaimed funds are ultimately turned over to governmental authorities.

Dispute Resolution Regarding Consigned Merchandise: In the event that a Dispute arises between You and Us concerning Your Consigned Merchandise (as defined in the “Informal Dispute Resolution” section of our overarching Terms of Service), We shall be under no obligation to remit any Commissions or other amounts that may otherwise be due to You, including, without limitation, amounts unrelated to the specific subject matter of the Dispute, unless and until such Dispute is fully and finally resolved. We reserve the right to withhold any Commissions that would otherwise be payable to You (including any amounts due for Sold items of Consigned Merchandise that are not directly implicated in the Dispute) and to offset such withheld Commissions in full or partial satisfaction of any outstanding amounts that You may owe to Us.

DIRECT PURCHASE PROGRAM:

Certain categories of Merchandise may be eligible for our Direct Purchase program. Should We elect to offer Direct Purchase for your eligible Merchandise, You hereby agree to sell and irrevocably relinquish all right, title, and interest in and to the specifically designated items of Merchandise (the “Direct Purchase Merchandise”) to TheLuminaEdit in exchange for a mutually agreed-upon monetary amount, which constitutes the offer price We will communicate to You (the “Offer Price”), as more fully detailed below.

FURTHER INSPECTION, AUTHENTICATION, AND INFORMATION REQUESTS:

To initiate a request for the Direct Purchase option, You are required to physically deliver the relevant Merchandise to Our facilities for evaluation and to provide all pertinent information as mandated by this Protocol. Upon our receipt of Your Merchandise, We will conduct a thorough evaluation to determine, at Our sole discretion, the Merchandise’s condition and authenticity, employing a process consistent with our authentication procedures for Consigned Merchandise. If, following this evaluation, We elect not to extend an Offer Communication to You (as defined below) or to accept the Direct Purchase Merchandise for Consignment or Trade-In (as defined below), the Direct Purchase Merchandise will be returned to You in accordance with the terms of the Return Policy, with all associated return shipping costs borne by Us.

In addition to any other information We may require, You may be asked to provide supplementary documentation and/or information concerning Yourself and/or the Direct Purchase Merchandise. This may include, but is not limited to, all documentation or information We deem necessary to comply with applicable local, state, and federal laws (including Our obligation to report received property to the appropriate authorities as legally mandated and to file Form 8300 with the Internal Revenue Service for

TheLuminaEdit reserves the exclusive prerogative to revise or alter any stipulations within this Consignment/Sales Framework at any juncture. Unless explicitly stated otherwise herein (specifically concerning Commission Rates, as detailed in the “Commission Structure and Payment for Consigned Merchandise” section, which are subject to immediate modification without prior notice), any such revisions will be communicated to you thirty (30) calendar days prior to their effective implementation.

Upon the designated effective date of any revised terms, including but not limited to adjustments in Commission structures or Commission Rates, your continued engagement with our services will signify your acceptance of these updated conditions. Should you find any of the revised terms unacceptable, your sole recourse is to formally terminate this Consignment/Sales Framework in accordance with the “Termination of Service” provisions outlined previously, such termination to be effective prior to the implementation date of the revised terms.

COMPREHENSIVE AGREEMENT CLAUSE

This Consignment/Sales Framework, encompassing our overarching Terms of Service (accessible at https://theluminaedit.com/terms-of-service/) and any supplementary terms, guidelines, or documents explicitly referenced and incorporated herein, constitutes the complete, final, and exclusive understanding between You and Us concerning the subject matter addressed herein. It supersedes and nullifies all prior discussions, understandings, or agreements, whether oral or written, pertaining to the same subject matter. Except as expressly stipulated within the “Commission Structure and Payment for Consigned Merchandise” section and the “Modifications and Updates to this Consignment/Sales Framework” section, any alterations or amendments to this Consignment/Sales Framework must be formalized in a written document duly executed by both You and TheLuminaEdit. In the event of any conflict or inconsistency between the terms of this Consignment/Sales Framework and any incorporated terms or documents, the provisions of this Consignment/Sales Framework shall prevail and govern.

NON-ASSERTION OF RIGHTS

The omission or failure by either You or TheLuminaEdit to exercise or enforce any right or provision stipulated within this Consignment/Sales Framework shall not be interpreted or construed as a present or future waiver of such right or provision, nor shall it prejudice the right of either party to subsequently assert or enforce such right or any other provision contained herein.

SEVERANCE OF INVALID PROVISIONS

Should any specific term or provision of this Consignment/Sales Framework be judicially determined by a court of competent jurisdiction to be invalid, illegal, or otherwise unenforceable, such determination shall not affect the validity or enforceability of the remaining provisions of this Consignment/Sales Framework. The remaining terms shall continue in full force and effect as if the invalid or unenforceable term had been excised from this document ab initio.

ENDURING OBLIGATIONS

Notwithstanding any clause pertaining to the termination of this Consignment/Sales Framework, any provision herein that, by its inherent nature, imposes or contemplates ongoing duties, responsibilities, or obligations on either You or TheLuminaEdit shall survive the formal termination of this Consignment/Sales Framework and shall remain in full force and effect subsequent to such termination.

CONVENIENCE HEADINGS

The section headings utilized throughout this Consignment/Sales Framework are provided solely for organizational convenience and ease of reference. These headings shall not be employed in the interpretation or construction of the substantive meaning or intended scope of the provisions contained within each respective section.

OFFICIAL COMMUNICATIONS

All formal notifications, requests, or communications required or permitted under this Consignment/Sales Framework must be conveyed in written form. For any inquiries, feedback, or if you wish to initiate termination of this Consignment/Sales Framework, please direct your written communication to the following address:

TheLuminaEdit will disseminate all official notices and communications intended for You to the email address or physical mailing address that You have officially registered and maintained within your account profile. It is your exclusive responsibility to ensure that this contact information remains consistently current, accurate, and complete.

You hereby acknowledge and agree that all agreements, notifications, disclosures, and other communications that We provide to you in electronic format shall satisfy any legal requirement stipulating that such communications must be in writing.

DISPUTE RESOLUTION MECHANISM: MANDATORY ARBITRATION PROTOCOL – PLEASE CAREFULLY REVIEW THIS SECTION AS IT SIGNIFICANTLY IMPACTS YOUR LEGAL RIGHTS BY REQUIRING ARBITRATION FOR CERTAIN DISAGREEMENTS AND LIMITING YOUR AVENUES FOR SEEKING REDRESS.

Scope of Arbitration:

Any and all controversies, disputes, or claims of any nature whatsoever arising between You and Us, whether directly or indirectly, from or in any way pertaining to this Consignment/Sales Framework or the entirety of Your relationship with TheLuminaEdit, irrespective of the underlying legal theory (including but not limited to contract, tort, statute, fraud, misrepresentation, or any other legal basis), encompassing any disagreement regarding the interpretation, applicability, enforceability, revocability, or validity of this arbitration provision or any portion thereof (“Disputes”), shall be exclusively resolved through the processes and procedures articulated within this section. This resolution process mandates initial good-faith amicable negotiation, followed by final and binding arbitration before a neutral, independent arbitrator, thereby precluding adjudication in a court of law by a judge or jury.

MUTUAL WAIVER OF JURY TRIAL: YOU AND THELUMINAEDIT HEREBY IRREVOCABLY WAIVE YOUR RESPECTIVE RIGHTS TO A TRIAL BY JURY IN ANY LEGAL PROCEEDING, COURT ACTION, OR LAWSUIT INVOLVING ANY DISPUTE ARISING OUT OF OR IN ANY WAY RELATED TO THIS CONSIGNMENT/SALES FRAMEWORK OR THE SERVICES PROVIDED HEREUNDER.

Amicable Negotiation Phase:

In the event that a Dispute arises, You and TheLuminaEdit commit to initially engage in sincere, good-faith negotiations aimed at achieving an informal resolution of the Dispute. You may formally notify Us of a Dispute by sending a detailed email to cs@theLuminaEdit.com or by dispatching a written letter to TheLuminaEdit LLC, 8583 Irvine Center Drive, #114, Irvine, CA 92618. Your notification must clearly and specifically delineate the nature of the Dispute and the precise relief that You are seeking from TheLuminaEdit. Upon receipt of such a notification, both You and TheLuminaEdit shall have a period of sixty (60) calendar days from the date of receipt to diligently attempt to resolve the Dispute through these informal negotiations (or such extended period as may be mutually agreed upon in writing). If the Dispute remains unresolved to the mutual satisfaction of both parties within this sixty (60) day period (or any agreed-upon extension), then either You or TheLuminaEdit shall have the right to submit the unresolved Dispute to binding arbitration in strict accordance with the arbitration provisions detailed below.

Binding Arbitration Procedure:

With the sole exception of any individual controversy or claim appropriately filed and actively pursued within the jurisdictional limits of a small claims court on an individual basis (as further explained in the “Small Claims Court Option” subsection below), any Dispute that persists without resolution following the aforementioned good-faith attempt at informal negotiation shall be exclusively resolved through binding arbitration conducted on an individual basis. In such instances, either You or TheLuminaEdit may initiate confidential binding arbitration under the specific terms and conditions set forth in this section. The arbitration proceedings shall be administered by JAMS (Judicial Arbitration and Mediation Services) in accordance with its Consumer Arbitration Rules (currently accessible online at www.adr.org or via telephone at 1-800-778-7879), as these rules may be specifically modified by the provisions of this Consignment/Sales Framework. The designated venue or location for any arbitration proceedings shall be exclusively within the County of Los Angeles, California. The arbitration shall be conducted by a single, neutral arbitrator selected by JAMS in strict adherence to the applicable Consumer Arbitration Rules. The arbitrator shall have the discretion to conduct the arbitration hearing via teleconference or videoconference, unless the arbitrator determines, upon a formal request by either You or Us, that an in-person hearing is necessary and appropriate under the specific circumstances. Any in-person appearances for arbitration hearings shall be held at a location reasonably convenient for both parties, giving due consideration to their respective abilities to travel, the associated expenses, and other pertinent factors. If the parties are unable to reach a mutual agreement on the location for an in-person hearing, the arbitrator shall have the sole authority to make the final determination regarding the location. The arbitrator’s decision(s) and award shall be final and legally binding upon both parties. The arbitrator shall be vested with the authority to grant temporary, interim, or permanent injunctive relief, or to order specific performance of the obligations outlined in this Consignment/Sales Framework, but solely to the extent necessary to provide relief warranted by the specific individual claim presented before the arbitrator. Any award rendered by the arbitrator may be entered as a judgment in any court possessing the requisite jurisdiction to enforce such an award.

Small Claims Court Option:

If You have entered into this Consignment/Sales Framework in your individual capacity, you retain the option to submit any Dispute that falls within the jurisdictional limits of a small claims court to be resolved in that forum, if applicable, instead of mandating resolution through binding arbitration as described above. You may exercise this option either before or after the Dispute has been formally submitted for resolution through Arbitration. If you elect to pursue a claim in small claims court, you expressly agree to do so on an individual basis only and not as part of any class action or representative legal proceeding.

WAIVER OF CLASS ACTIONS AND LITIGATION: BY AGREEING TO THIS ARBITRATION PROVISION, YOU ARE IRREVOCABLY WAIVING YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST THELUMINAEDIT. ANY ARBITRATION PROCEEDING UNDER THIS CONSIGNMENT/SALES FRAMEWORK WILL BE CONDUCTED SOLELY ON AN INDIVIDUAL BASIS. CLASS ARBITRATIONS, PRIVATE ATTORNEY-GENERAL ACTIONS, CLASS ACTIONS, AND ANY OTHER LEGAL OR ARBITRATION PROCEEDING WHERE ONE OR MORE INDIVIDUALS ACT IN A REPRESENTATIVE CAPACITY ON BEHALF OF A CLASS OR OTHER PERSONS ARE EXPRESSLY PROHIBITED. YOU SPECIFICALLY AGREE TO RELINQUISH AND WAIVE ANY ABILITY TO PARTICIPATE IN OR BE REPRESENTED IN A CLASS ACTION OR REPRESENTATIVE PROCEEDING. FURTHERMORE, THE CONSOLIDATION OR COMBINING OF INDIVIDUAL ARBITRATION PROCEEDINGS WITHOUT THE EXPLICIT WRITTEN CONSENT OF ALL PARTIES INVOLVED IS STRICTLY FORBIDDEN. ANY DISPUTES CONCERNING THE ENFORCEABILITY, REVOCABILITY, OR VALIDITY OF THIS CLASS ACTION WAIVER SHALL BE EXCLUSIVELY RESOLVED BY AN ARBITRATOR APPOINTED BY JAMS, PURSUANT TO THE APPLICABLE ARBITRATION RULES, AS DETAILED IN THIS SECTION.

Severability of Arbitration Clause:

Should any specific portion of this “Dispute Resolution” section be deemed unenforceable by the arbitrator or a court of competent jurisdiction, the affected portion shall be severed from this section, and the remainder of this section shall continue to be valid and in full force and effect. If the severance of any portion of this section results in any claims proceeding on a class or representative basis, those specific claims shall be litigated exclusively in a court of law and shall not be subject to arbitration; the parties mutually agree to stay any litigation of those claims pending the final outcome of any related individual claims that are proceeding through arbitration.

MISCELLANEOUS PROVISIONS:

You explicitly acknowledge and agree that no joint venture, partnership, employment relationship, or agency relationship exists between You and TheLuminaEdit as a direct or indirect result of this Consignment/Sales Framework or your access to and utilization of the Service. Except as otherwise expressly and specifically provided for within the explicit terms of this Consignment/Sales Framework, there shall be no third-party beneficiaries to this Consignment/Sales Framework, and it is intended to create rights and obligations solely between You and TheLuminaEdit.
